The Cloudstaff President's Club was created by our CEO, Lloyd Ernst, to give all Cloudstaffers the opportunity to benefit from the value they add to the company. 

Gems (Share Units) are awarded based on tenure or performance. Gems (Share Units) for performance can be allocated by either Cloudstaff or customers.

Terms & Conditions

  1. Goal of the Cloudstaff President's Club

    The President's Club aims to share the value created in Cloudstaff with employees.

  2. Private Company

    Cloudstaff Holdings Pty Ltd is privately held and not a stock market listed company.

  3. Membership Eligibility

    The President's Club is open to all Cloudstaff(ers), both Hub and Engaged.

  4. Free Issuance of Gems

    Gems in the President's Club are issued free of charge.

  5. No Fees Charged

    Cloudstaff does not charge fees or sell gems to Cloudstaff(ers).

  6. Restrictions on Gems

    Gems cannot be traded, transferred, sold, or borrowed against.

  7. Liquidity Event Bonus

    The President's Club operates as a liquidity event bonus linked to ordinary share value. No securities are issued.

  8. Valuation of Gems

    The value of gems is established during a liquidity event. Cloudstaff makes no value or timing representations.

  9. Tax Advice

    Cloudstaff(ers) should seek independent tax advice for their jurisdiction when a liquidity event occurs.

  10. Forfeiture on Resignation

    If a Cloudstaff(er) resigns, they forfeit all allocated gems, which return to the President's Club.

  11. Forfeiture on Termination

    Terminated Cloudstaff(ers) forfeit all allocated gems, which are returned to the President's Club.

  12. Redundancy Provision

    If made redundant, gems are forfeited but reinstated upon re-employment with Cloudstaff.

  13. Transfer to Freelancer Program

    Cloudstaff(ers) moving to the Freelancer program retain their issued gems.

  14. In Case of Death

    Gems transfer to the beneficiary of the estate until a liquidity event occurs.

  15. Tenure Recognition

    • 3-year Anniversary: 300 gems
    • 5-year Anniversary: 500 gems
    • 7-year Anniversary: 700 gems
    • 10-year Anniversary: 1,000 gems
    • Every year after 10 years: 150 gems per year

  16. Project Issues Gems

    Gems may be issued for exceptional contributions to projects, clubs, environmental/social programs, or social media promotion.

  17. Terms Subject to Change

    Terms and Conditions may be changed.
